Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the BlinkCFO website at blinkcfo.com and the BlinkCFO application (collectively, the "Service"), operated by BlinkCFO ("we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

BlinkCFO is an AI-powered financial management platform designed for startups and growing businesses. The Service provides real-time financial dashboards, AI-driven analysis, integration with third-party accounting software (such as QuickBooks Online), automated report generation, and related tools to help you understand and manage your finances.

The Service is provided for informational purposes and as a business management tool. It is not a substitute for professional accounting, tax, legal, or financial advice. You should consult qualified professionals for decisions that require such expertise.

3. Account Terms

To use the Service, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the security of your account credentials. You must not share your login credentials with unauthorized individuals. You are responsible for all activity that occurs under your account.

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement.

You must notify us immediately at legal@blinkcfo.com if you become aware of any unauthorized access to or use of your account.

4. Billing and Payments

BlinkCFO offers both free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe.

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are stated in U.S. dollars and are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.

5. Free Trial and Free Plan

We may offer a free plan or free trial period. Free plans are subject to usage limits described on our pricing page. We reserve the right to modify or discontinue free plans at any time with reasonable notice.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to compete with BlinkCFO or to build a similar product
  • Scrape, crawl, or use automated means to access the Service beyond normal API usage
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload financial data that you do not have the right to access or share

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these terms.

7. Third-Party Integrations

The Service integrates with third-party platforms including QuickBooks Online (Intuit), Stripe, and others. Your use of these integrations is subject to the respective third party's terms of service and privacy policy.

We are not responsible for the availability, accuracy, or reliability of third-party services. If a third-party integration becomes unavailable or changes its terms, we may need to modify or discontinue the corresponding feature in our Service.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by BlinkCFO and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

You retain ownership of all financial data and content you upload to or create within the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Data solely to provide the Service to you.

9. AI-Generated Content

The AI analyst feature generates responses based on your financial data using third-party AI models. AI-generated insights, recommendations, and analyses are provided for informational purposes only and should not be relied upon as professional financial, accounting, tax, or legal advice.

We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are solely responsible for evaluating and acting upon any information provided by the AI features. Always verify important financial decisions with qualified professionals.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you agree to the practices described in the Privacy Policy.

You are responsible for ensuring that any data you upload to the Service complies with applicable privacy laws and that you have the necessary rights and consents to share such data with us.

11. Service Availability

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform scheduled maintenance, deploy updates, or experience downtime due to circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

BLINKCFO IS NOT AN ACCOUNTING FIRM, TAX ADVISOR, OR FINANCIAL INSTITUTION. THE SERVICE IS A SOFTWARE TOOL AND DOES NOT CONSTITUTE PROFESSIONAL FINANCIAL ADVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLINKCFO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless BlinkCFO and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

You may cancel your account at any time through the Service settings or by contacting us at legal@blinkcfo.com. Upon cancellation, your access to paid features will continue until the end of your current billing period.

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or if required by law. We will make reasonable efforts to notify you before termination except where prohibited by law or where immediate action is necessary to protect the Service or other users.

Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination. After 30 days, we may delete Your Data in accordance with our Privacy Policy.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the changes take effect.

18. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BlinkCFO regarding the Service and supersede all prior agreements and understandings.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
